Merchant Terms and Privacy Notice

MB RAYCO CORPORATION operating as Co-Mover. Merchants control their own item prices. Co-Mover may charge an individually accepted Merchant Platform Fee and a customer markup for Food Delivery. Thursday payouts apply to platform-settled store orders. Shop & Deliver purchases are paid at the till and have no Co-Mover merchant payout. Part B explains merchant personal information.

Part A Merchant Terms

1. About Co-Mover and these terms

These terms govern merchant applications, merchant accounts and participation in services enabled on the Co-Mover platform. Co-Mover is a registered Alberta trade name owned and operated by MB RAYCO CORPORATION. In these terms, Co-Mover, we, us and our mean MB RAYCO CORPORATION operating as Co-Mover.

The merchant is the business named in its application or agreement. Its representative must have authority to act for it. Applying or accepting these terms does not guarantee approval, launch in a community, a minimum volume of orders or revenue. Services are available only where they have been enabled and applicable requirements have been satisfied.

The Merchant Agreement signed by both parties, together with any expressly accepted merchant rate schedule, governs specific commercial arrangements where it differs from these general terms. A general policy update does not replace an individually agreed fee waiver or special deal without the merchant agreeing to the change. Applicable law and non-waivable rights prevail.

An authorized merchant representative agrees to these terms by affirmatively selecting the acceptance checkbox or acceptance button in the Merchant Portal. Co-Mover may retain the accepted terms version, account identifier and acceptance timestamp as evidence. Accepting these general terms does not authorize an undisclosed Merchant Platform Fee or replace the Merchant Agreement and rate acceptance required before live orders begin.

2. Applications accounts and eligibility

Provide accurate business and contact information, required verification documents, payout details and current operating information. Maintain the licences, permits, food-safety requirements and other approvals needed for the products and location in which you operate. Co-Mover may request corrections, review eligibility, reject an incomplete application or restrict service while a material issue is resolved. A Business Number and contact mobile number are required for approval.

Protect account credentials, authorize only appropriate users and tell Co-Mover promptly about a suspected compromise. Keep business hours, availability, pickup instructions and account information current.

Before the merchant is onboarded to accept live orders, an authorized representative of the merchant and an authorized representative of Co-Mover must agree to and sign a Merchant Agreement. The agreement and its accepted rate schedule set out the enabled services, Merchant Platform Fee, payout terms and cancellation arrangements. Each party receives a copy. Application approval alone does not activate a service; required verification, the signed agreement and applicable rate acceptance must be complete.

Before live orders are enabled, the merchant must provide its current GST/HST registration status, legal business name, Business Number and GST/HST program account number where applicable. The merchant authorizes Co-Mover to collect, account for, report and remit applicable GST/HST on covered Co-Mover platform transactions under the documented arrangement described in section 9.

Where a tax election, authorization or additional agreement is legally needed, the parties must complete it before the relevant live transactions. Website or portal acceptance does not replace any required signed authorization or transfer statutory tax responsibility.

3. Merchant prices and product information

Merchant Price means the item price the merchant sets in its catalogue, excluding separately stated applicable taxes. The merchant sees and edits its own Merchant Price. It is responsible for accurate descriptions, item quantities, availability, allergens where required, packaging and lawful product information.

For Shop & Deliver, offer supported pre-packed items at the listed package price. Loose items priced by variable weight are unavailable unless Co-Mover enables a separate supported workflow. Restricted or regulated products are unavailable unless Co-Mover expressly enables the lawful service for the applicable jurisdiction.

4. Merchant Platform Fee and rate acceptance

Co-Mover may charge the merchant a Merchant Platform Fee at the rate disclosed to that merchant and expressly accepted by it. The percentage can differ by merchant and by order type. These terms do not establish a universal percentage. The applicable percentage and calculation basis are stated in the Merchant Agreement or its accepted rate schedule.

A percentage Merchant Platform Fee is calculated on the merchant item subtotal at Merchant Prices for the items actually supplied and retained, before applicable item taxes. It is not calculated on the customer markup, delivery fee, customer service fee, shopping fee, small-order fee or driver tip.

Co-Mover will present the merchant's own rate, the applicable order type and these terms for affirmative acceptance. Until the merchant accepts an applicable rate, the Merchant Platform Fee for that order type remains at 0%. Accepting general merchant terms alone does not authorize an undisclosed rate. A higher or newly introduced rate requires acceptance before it applies to future orders.

The accepted rate is deducted from merchant settlements. The rate applying when an order is placed is retained for that order. A later rate change does not retroactively change an earlier order. Applicable taxes on Co-Mover's merchant fee, if legally required, are accounted for separately. Any other merchant charge must be separately disclosed and agreed.

5. Customer item markup for Food Delivery

For regular store orders through Food Delivery, where this feature is enabled, Co-Mover may display a customer item price higher than the Merchant Price. The difference is the Customer Item Markup, sometimes referred to as a top-up.

The customer pays the item price displayed in the Co-Mover app. The merchant continues to control and maintain its own Merchant Price. Merchant settlement is based on the Merchant Price, subject to the accepted Merchant Platform Fee, refunds, adjustments and other amounts expressly permitted under these terms or the Merchant Agreement.

The Customer Item Markup is retained by Co-Mover and is not an additional deduction from the Merchant Price.

Co-Mover does not apply a Customer Item Markup to Shop & Deliver at launch. Shop & Deliver uses the applicable merchant-set app price for items actually found and approved substitutions, with applicable customer service, shopping, delivery and other fees displayed separately. The Driver pays the store at the till; that purchase has no Co-Mover merchant payout.

Where a Customer Item Markup applies, customer-facing fees or calculations based on the customer item subtotal may use the customer-facing item price rather than the Merchant Price. All applicable charges or explained estimates will be disclosed before order confirmation.

Applicable GST/HST is calculated and accounted for according to the tax treatment of the item, service, Customer Item Markup and other charges. Co-Mover collects and accounts for GST/HST on covered platform transactions as described in section 9. Tips remain optional and separate from item prices, customer markup and customer fees.

6. Gross sales reports and weekly payouts

Shop & Deliver purchases are paid by the Driver directly at the store till. The store receives payment at checkout, so Co-Mover makes no merchant payout or second settlement for those purchases. Thursday payouts and platform settlement statements apply to orders settled by Co-Mover, such as regular Food Delivery store orders, and exclude Shop & Deliver till purchases.

Merchant gross item sales means item sales at Merchant Prices, before deducting the Merchant Platform Fee and refunds, and excluding customer markup, customer fees, tips and separately recorded taxes. Net item sales reflects item refunds. Net settlement reflects the applicable platform fee and other itemized adjustments.

Settlement statements will separately identify Merchant Prices, refunds and adjustments, the applicable accepted Merchant Platform Fee, applicable taxes and other authorized amounts. Payouts are administered through the applicable payment provider after required verification and reconciliation.

GST/HST collected from customers on transactions for which Co-Mover is responsible for reporting and remittance under section 9 is not included in the merchant's payout as an amount for the merchant to remit again. The merchant must not remit the same GST/HST a second time. Co-Mover maintains transaction and settlement records identifying the tax treatment and amounts it handles. This does not remove the merchant's own return-filing, sales-disclosure or income-reporting obligations required by law.

Merchant payouts are processed weekly, every Thursday, rather than daily. Each payout covers the eligible cleared balance for the settlement period and cutoff disclosed in the Merchant Agreement or merchant portal before live orders begin. Thursday is the payout processing day; bank processing times may affect when funds reach the merchant account. If Thursday is a banking holiday or transfers cannot be processed that day, processing moves to the next available business day.

Verification requirements, reserves and dispute holds must be legally required or disclosed and agreed where applicable. Co-Mover will identify any held amount, explain the reason and provide a review path. A hold does not authorize an undisclosed fee or forfeit an amount otherwise owed.

The merchant must review payout information and report discrepancies. Co-Mover will explain a disputed deduction and provide a review path. An administrative setting alone does not authorize an unaccepted fee.

7. Order fulfilment changes and refunds

Accept only orders you can reasonably fulfil. Prepare and package goods safely, keep pickup status accurate and cooperate with the assigned driver. Do not remove items, replace them, increase their price or mark goods as supplied when they have not been supplied without the required customer approval and recorded adjustment.

For an unavailable, removed or refunded item, the final customer charge must reflect the items actually supplied and any approved substitutions. Notify the customer through the available order workflow and contact support if you cannot correct the order, payment or settlement. A displayed order total must be corrected when an item has not been supplied.

If a customer item refund is attributable to the merchant's mistake, the merchant item-value deduction is based only on the affected Merchant Price. Co-Mover refunds or absorbs its own associated markup and does not charge that markup back to the merchant. The related percentage Merchant Platform Fee is reversed or recalculated on the item value retained. Applicable taxes are adjusted separately. There is no double deduction for the same refunded item.

Applicable GST/HST on refunds and adjustments is accounted for by Co-Mover where Co-Mover is responsible for the tax on the covered platform transaction under section 9. Cancellation of an entire order is governed by section 8.

Additional documented losses or agreed charges may be allocated only under applicable law and a separately accepted agreement; they are not automatically created by the item-refund rule. Prepared-food cancellations covered by section 8 follow the payment rule in that section. Other Driver-caused or Co-Mover-caused failures are reviewed separately. Co-Mover will not arbitrarily deduct them from merchant settlements.

For a Shop & Deliver till purchase, provide an itemized receipt and coordinate any return or adjustment against the retail purchase with Co-Mover. The store is not paid again through a Thursday merchant payout. Co-Mover handles the customer-facing adjustment separately under the Customer Terms and applicable law.

Where lawful liquor delivery is enabled, cooperate with age and identity checks and the investigation of a refused hand-over. Refused items stay in secure temporary custody pending investigation and lawful return, transfer or disposal; they do not become the Driver’s personal property. The prepared-food no-driver protection does not automatically apply to a customer-caused liquor refusal.

8. Cancellations delivery interruptions and tips

Reject unavailable orders promptly and notify support if an accepted order cannot be completed. Do not mark preparation as started solely to claim compensation. Keep accurate preparation and cancellation records, and stop further preparation when Co-Mover gives a cancellation or stop-preparation notice.

Co-Mover or delivery-related cancellation

Co-Mover may cancel an order where no suitable driver can be secured; an assigned driver withdraws and no replacement can reasonably be found; severe weather, heavy snow, ice or unsafe road conditions prevent delivery; a road closure or emergency prevents fulfilment; a material platform or delivery interruption prevents completion; or another circumstance outside the merchant's reasonable control makes delivery impracticable or unsafe.

If an order is cancelled in full for one of these reasons before delivery is completed, Co-Mover will provide the customer with a full refund of amounts paid for the cancelled order, including item charges, Customer Item Markup, applicable customer fees, GST/HST and any driver tip. If payment was only authorized and has not settled, Co-Mover may instead void or release the authorization. Bank or card-provider processing times may affect when funds become available.

Prepared food where the merchant did not cause the cancellation

Where an accepted food order has already been prepared and is cancelled because no suitable driver can be secured, an assigned driver withdraws without an available replacement, severe weather or road conditions prevent delivery, or another delivery interruption occurs outside the merchant's control, Co-Mover absorbs the applicable customer refund and compensates the merchant for the verified prepared food at the applicable Merchant Prices.

The customer refund is not deducted from the merchant's payout. The Merchant Platform Fee relating to the cancelled prepared-food amount is waived or reversed. Customer Item Markup, customer fees and driver tips are not included in merchant compensation. Any applicable item taxes are accounted for separately under the documented tax arrangement.

The merchant must provide reasonable evidence that the food had already been prepared before cancellation. Co-Mover may deny compensation where reasonable evidence shows the food was not prepared before cancellation, preparation began after a stop-preparation or cancellation notice, or the claim is fraudulent or materially inaccurate. Co-Mover will explain the settlement or denial and provide a way to dispute it.

Merchant-initiated or merchant-caused cancellation

A merchant-initiated or merchant-caused cancellation includes accepting an order the merchant cannot fulfil; being closed or unavailable despite appearing available; lacking ordered products; refusing to complete an accepted order; materially delaying preparation without reasonable justification; being unable to satisfy an applicable safety or legal requirement; or otherwise causing cancellation.

The customer receives the applicable refund or payment reversal under the Customer Terms and applicable law. A customer is not charged a cancellation penalty when a merchant or Co-Mover failure caused the cancellation.

Co-Mover is not responsible for reimbursing or compensating the merchant for food, products, preparation costs, labour, packaging or other losses resulting from a merchant-initiated or merchant-caused cancellation. This applies even if the merchant began or completed preparation before cancelling. Co-Mover's prepared-food protection above does not apply to these cancellations.

If Co-Mover already credited the merchant for the cancelled order, Co-Mover may reverse or recover that amount from current or future settlement, subject to applicable law. The Merchant Platform Fee is not charged on item value that does not remain a completed merchant sale, unless a separately accepted Merchant Agreement expressly provides otherwise. The same cancelled item amount will not be deducted twice. Co-Mover will explain the adjustment and provide a review path.

Repeated merchant cancellations or material fulfilment problems may result in review, temporary restriction or suspension of ordering privileges. A merchant's notification of a no-driver, weather or other delivery interruption outside its control does not by itself make the cancellation merchant-caused; the actual reason is reviewed.

Customer-initiated cancellations

A customer-initiated cancellation is treated separately from a Co-Mover delivery failure or merchant-caused cancellation. The customer's refund entitlement and any amount payable to the merchant depend on the stage of fulfilment, whether preparation has begun or been completed, the applicable Customer Terms, the Merchant Agreement and applicable law.

A customer-initiated cancellation does not automatically require Co-Mover to absorb the merchant's loss unless the Merchant Agreement or applicable Co-Mover policy expressly provides otherwise. Customer cancellation fees, merchant compensation and driver compensation are separate decisions. An undisclosed cancellation fee is not automatically passed to a customer.

Tips

For completed services, 100% of a voluntary customer tip is payable to the assigned driver. Co-Mover retains no portion as a Merchant Platform Fee or Customer Item Markup. Tips are not merchant revenue and must not fund a merchant deduction or platform loss.

On a fully refunded cancelled order, the customer's tip is also refunded. Any cancellation payment owed to a driver is accounted for separately.

9. GST/HST and other tax responsibilities

9.1 Co-Mover app orders

For covered regular store orders settled by Co-Mover, the intended arrangement is for Co-Mover to collect, account for, report and remit applicable GST/HST to the extent permitted by law and the documented arrangement. The merchant authorizes lawful billing and collection within that agreed scope.

Before covered live transactions begin, the parties must document the lawful allocation of collection and remittance responsibilities and complete any required authorization or election. The accountant or tax adviser must confirm the scope and effective date. Acceptance of these terms alone does not transfer statutory tax responsibilities.

The accountant or tax adviser must confirm the arrangement, its scope and effective date before activation. Any statutory liability that remains with either party, including joint and several liability under an applicable election, is not removed by these terms.

Shop & Deliver till purchases are ordinary retail purchases. The store charges and accounts for applicable item taxes under its normal obligations; these purchases do not transfer its retail tax obligations to Co-Mover. Co-Mover separately accounts for its own customer-facing fees and taxable services.

9.2 No duplicate merchant remittance

For a transaction where Co-Mover is responsible for reporting and remitting GST/HST under the effective documented arrangement, the merchant must not collect or remit the same tax a second time or account for it again as tax it owes on that supply. Co-Mover does not pay that remittance amount to the merchant for remittance again.

Co-Mover maintains appropriate transaction, settlement and tax records. The merchant must still maintain its own records and include platform sales, income and other information in its returns where required by law or the applicable arrangement. This section does not exempt the merchant from filing its own required tax returns.

9.3 Merchant retail and other sales

The merchant remains responsible for applicable item taxes on retail purchases paid directly at its till, including Shop & Deliver purchases made by a Driver, and on other transactions outside the covered Co-Mover tax arrangement. This includes its own in-store sales, website orders, telephone orders, direct invoices, other platforms and other delivery services.

Co-Mover does not collect, file or remit GST/HST for those transactions merely because the business is also a Co-Mover merchant.

9.4 Merchant tax information

The merchant must provide accurate and current legal business name, Business Number, GST/HST registration status, GST/HST program account number and registration effective date where applicable, and product classifications reasonably required for tax calculation. It must promptly notify Co-Mover of material changes affecting tax treatment. Co-Mover may rely on this information where permitted by law.

9.5 Registered and non-registered merchants

Tax treatment and collection responsibilities may differ according to the merchant's registration status and the parties' legal relationship. A registered merchant's responsibility does not transfer solely because an order is placed in the Co-Mover app. Co-Mover will document the lawful arrangement for each merchant and use any required authorization or election to implement its intended collection and remittance model. For non-registered merchants, Co-Mover applies the collection rules that legally apply to the relevant transaction; registration status alone does not establish the same treatment for every sale.

9.6 Tax rates and product classification

Co-Mover applies GST/HST according to applicable tax law and transaction classification. Standard-rated supplies made in Alberta are generally subject to 5% GST, while qualifying basic groceries are zero-rated. The same rate is not automatically applied to every item in an order. Voluntary customer tips are generally not consideration for a taxable supply.

GST/HST on Co-Mover's own Customer Item Markup, Merchant Platform Fee, customer service fees, delivery services and other charges is accounted for according to the applicable legal classification and supplier arrangement. Refunds and adjustments are documented and taxes corrected as required by law.

9.7 Merchant income tax and other business taxes

Co-Mover's GST/HST handling does not mean Co-Mover files the merchant's corporate or personal income-tax, payroll or other business-tax returns. The merchant remains responsible for reporting its business income, including revenue earned through Co-Mover, and satisfying its own income-tax and other business-tax obligations.

9.8 Compliance with applicable law

If applicable law, a CRA ruling or the parties' tax advisers require a different mechanism, the parties will implement the legally required mechanism and document the resulting responsibilities before affected live transactions proceed. Nothing in these terms requires duplicate remittance of the same GST/HST.

10. Customer information and responsible use

Use customer and driver information only to fulfil, communicate about or support the relevant order. Limit employee access and do not sell, export, disclose publicly or use that information for unrelated marketing. Tell Co-Mover promptly about suspected misuse or a privacy incident involving platform information.

The Merchant Privacy Notice in Part B explains Co-Mover's handling of merchant personal information. The shared Privacy Policy at https://co-mover.ca/privacy supplies the detailed provider, location, retention and privacy-rights information. Acceptance of a rate is distinct from consent to optional marketing.

11. Account restrictions closure and disputes

Co-Mover may restrict ordering, listings or access for material safety, fraud, eligibility, privacy or fulfilment issues. Where appropriate, it will provide the reason and an opportunity to correct or seek review. Account closure does not erase outstanding settlements, refunds, disputes or legally required records.

Ask support at business@co-mover.ca to review a merchant account, fee or settlement issue. Store (Merchant) account deletion can be requested at https://co-mover.ca/account-deletion. Other privacy requests may be sent to the Privacy Officer through the contact in Part B. We verify authority to close the account and apply the published retention rules.

These terms operate with applicable Canadian law. Alberta law and applicable federal law govern to the extent permitted, without excluding mandatory protections in another jurisdiction. Nothing requires waiver of a right that cannot lawfully be waived or prevents a complaint to a competent regulator or court. Material changes will be communicated, and a changed Merchant Platform Fee requires the rate acceptance described above.

Part B Merchant Privacy Notice

Notice last updated October 9, 2026. This notice is separate from the commercial terms in Part A.

1. Scope and accountability

This notice explains how MB RAYCO CORPORATION operating as Co-Mover handles personal information of merchant applicants, business owners and authorized merchant users. Business information that identifies an individual is treated as personal information. Read it with the shared Privacy Policy at https://co-mover.ca/privacy, which provides the full details and applies across the Customer, Driver and Merchant services. We also collect the Business Number required for approval, contact mobile number, store photos and hours history, terms acceptances and compensation for cancelled orders.

2. Information and purposes

We collect business and representative names, contact information, account identifiers and credentials processed by our authentication provider, business addresses and coordinates, verification documents, account status, catalogue and order information, payout and transaction identifiers, support messages and limited technical records. Merchant Agreements and rate schedules may include representative names, signatures and signing dates. Where a rate-acceptance process is used, its record includes the rate and order type, terms version, accepting account and time of acceptance. We also collect legal business names, Business Numbers, GST/HST registration status, program account numbers, registration effective dates and signed tax authorizations or elections where applicable.

We use this information to review applications, secure accounts, manage listings and orders, record agreed commercial terms, coordinate fulfilment, settle fees and payouts, resolve issues, prevent fraud and comply with law. The Merchant app does not collect device location or request location permission. We still hold the business address and geocoded coordinates.

3. Sharing providers and choices

Relevant business, order and contact details are shared with customers and assigned drivers for the relevant service. Authorized staff and providers support accounts, hosting, maps, payments, notifications and support. Stripe processes payout information under its own notice. If notifications are enabled, Co-Mover stores the Firebase Cloud Messaging app-instance registration identifier or push token for the Merchant app.

Providers may process personal information outside Canada, including in the United States, as described in the shared Privacy Policy. Contact the Privacy Officer for provider countries, processing purposes and practices. We do not sell or rent personal information. Optional marketing and device permissions can be declined or withdrawn; essential service or legally required messages may continue.

The AI help assistant is in the Merchant web portal and the Customer and Driver apps. Typed questions and order details needed to answer them, including the assigned Driver’s name for order questions, go to Anthropic (Claude), which may process them outside Canada. The app and portal production database is hosted in Canada. Vercel hosts the Merchant and Driver portals; Mapbox receives address text from Merchant-portal searches. These providers and Resend are described in the shared policy.

4. Retention requests and contact

Retention follows the shared Privacy Policy, including financial records, application decision records, communications and documented holds. Some approved schedules are not yet active; affected records may remain longer until authorized manual review or scheduled expiry. Closure does not require immediate destruction of records needed for outstanding payouts, refunds, disputes or legal obligations.

Approved targets awaiting implementation are 180 days for job photos, 90 days for replacement-item photos, 180 days for ordinary order messages, and 24 months after closure for support conversations or after the last interaction for AI-assistant conversations, subject to documented holds. The system has no automatic support or AI-conversation expiry configured yet. Account closure does not immediately erase retained photos, conversations or open-settlement records.

Store (Merchant) account deletion is available at https://co-mover.ca/account-deletion. Merchants may also request access, correction or review of retention by contacting the Privacy Officer. We verify identity and authority to close the account, consider applicable exceptions and explain any refusal as required by law.
