APPLICATION AND SERVICE RULES — ACTIVATION REQUIRED

ACTIVATION AND AGREEMENT REQUIREMENTSThese terms govern applications and onboarding; sections 14B to 14D also state operating rules for activated Drivers. They do not guarantee approval, access to paid work, launch in any location, or a particular worker classification. They do not authorize an applicant to provide paid Co-Mover services. Before activation, an approved applicant must complete any required onboarding and accept the applicable service-provider agreement and any required provincial, territorial or municipal terms. Co-Mover may update these pre-launch terms before service launch and may require renewed acceptance of a materially revised version.

1. Acceptance and Scope

By creating or using a driver applicant account, submitting an application, uploading documents, or selecting the acceptance checkbox for these Driver Application Terms, you agree to these terms. If you do not agree, do not submit an application.

Where permitted by law, electronic acceptance - including an unchecked checkbox that the applicant affirmatively selects - may be used to record agreements to these terms. Co-Mover may retain the accepted version, timestamp, account identifier, and other reasonable audit evidence needed to show the acceptance record.

These terms apply to applications for Co-Mover driver, courier, shopper, mover and related service provider roles. They govern application, identity and document verification, and the operating rules below when a Driver is activated. They do not by themselves authorize you to accept jobs or provide transportation, delivery, shopping, or moving services.

2. About Co-Mover and the Pre-Launch Application Process

Co-Mover is a registered Alberta trade name owned and operated by MB RAYCO CORPORATION. Co-Mover is preparing services for Canadian markets and may open, delay, limit or change recruitment by province, territory, city, service type or operational capacity.

Submitting an application does not guarantee that Co-Mover will launch in your area, approve your application, activate your account, offer any minimum number of jobs, or make any particular service available to you.

3. Application Only - No Offer of Employment or Guaranteed Work

An application is a request to be considered for future access to the Co-Mover platform. It is not an employment offer, contractor engagement, promise of work, or guarantee of earnings.

Nothing in these Application Terms by itself determines whether a person is an employee, dependent contractor, independent contractor, self-employed person or another category of worker under applicable law. Any status or relationship applicable to approved service providers will depend on the final service-provider agreement, the actual working relationship and applicable law.

4. Basic Eligibility

To apply, you must:

Ride services may have additional licensing, vehicle, insurance, screening or municipal requirements that do not apply to delivery-only services. Approval for one service does not automatically approve you for another.

For applicants seeking Ride access in Alberta, activation is conditional on the Alberta ride-for-hire requirements then in force. Current Alberta requirements for transportation network company (TNC) drivers include Class 1, 2 or 4 driver's licences, a Police Information Check with a Vulnerable Sector Screen on the initial application, and proof of insurance that covers TNC driving. Applicable vehicle registration requirements must also be met. Co-Mover will not activate Ride service in a jurisdiction unless Co-Mover itself and the applicant satisfy the approvals and requirements that apply there.

5. Accurate Information and Account Security

You must provide complete, current, and accurate information. You must not submit false, altered, forged, misleading, expired or third-party documents as your own.

You are responsible for keeping your login credentials secure and for activity performed through your applicant account. Tell Co-Mover promptly if you believe your account or email has been compromised.

You must update information that materially changes while your application is pending, including licence status, insurance, vehicle information, address, legal name, or any other information relevant to eligibility.

6. Documents and Verification

Co-Mover may request documents reasonably necessary to assess eligibility, such as proof of identity, driver's licence, vehicle registration, insurance, inspection records, driving records or abstracts, criminal or police screening, proof of eligibility to work where required, permits and service-specific certifications, including ProServe for applicable liquor work. Required documents and their validity depend on the service and jurisdiction.

Co-Mover may review documents for completeness, validity, consistency, and signs of alteration. Co-Mover may ask you to resubmit a document if it is unreadable, expired, incomplete, inconsistent or otherwise cannot be verified.

Where permitted or required by law, Co-Mover may also require additional screening or verification, such as driving-record checks, criminal-record checks, identity verification, or other safety-related screening. Where a separate consent, notice or authorization is legally required, Co-Mover will request it separately rather than relying only on these Application Terms.

7. Privacy and Personal Information

Co-Mover handles applicant personal information in accordance with its Privacy Policy at https://co-mover.ca/privacy and applicable privacy law. For Alberta applicants, Alberta's Personal Information Protection Act (PIPA) generally applies to provincially regulated private-sector handling of personal information within Alberta, while federal privacy law may apply to interprovincial or international personal-information flows and in other circumstances. The Privacy Policy governs the specific purposes, notices, safeguards, service-provider practices, access/correction requests, retention and deletion processes.

Application information may include contact details, identity information, license and vehicle information, uploaded documents, application status, support communications, login and device information, and verification records.

If an applicant is later activated to provide services, additional operational data may be collected as described in the Privacy Policy and the applicable service-provider agreement, including information needed for dispatch, safety, support, payments and service completion.

8. Electronic Communications and Notices

You agree that Co-Mover may send application-related communications electronically, including email notices for account confirmation, missing information, document rejection or resubmission, application status, approval, security notices and changes that require your attention.

Co-Mover may send operational or application-administration messages that are permitted by applicable law. Optional marketing communications are handled separately and will use the consent, identification and unsubscribe mechanisms required by applicable Canadian anti-spam law.

You are responsible for maintaining an email address and contact information that you can access while your application is active.

9. Review, Resubmission, Approval and Rejection

Co-Mover may place an application in pending, under-review, incomplete, approved, rejected, suspended or another appropriate status. Co-Mover may request additional information or a replacement document before making a decision.

If a document is rejected, Co-Mover may provide a reason and allow a replacement to be uploaded. A resubmission does not guarantee approval.

Co-Mover may reject or suspend an application where eligibility requirements are not met, required documents cannot be verified, information appears false or materially incomplete, there is a credible safety or fraud concern, or applicable law or platform requirements prevent approval.

Where applicable law requires a particular notice, review, appeal or human-review process, Co-Mover will follow that requirement. Co-Mover may also provide an internal review path as part of its operating procedures.

10. Human Rights, Equal Opportunity and Accommodation

Co-Mover will administer recruitment, application review and onboarding in a manner consistent with applicable human rights law. Co-Mover will not make an application decision based on a protected ground except where a lawful bona fide occupational requirement or other legally permitted requirement applies.

Applicants may request reasonable accommodation in the application or onboarding process. Where the duty to accommodate applies, Co-Mover will consider accommodation to the point of undue hardship. Applicants should not be required to disclose information about protected characteristics unless it is lawfully required or reasonably necessary to assess an accommodation or bona fide requirement.

11. Provincial, Territorial and Municipal Requirements

Co-Mover operates or intends to operate across Canada, but legal requirements are not identical in every province, territory or municipality. Applicants must meet the requirements that apply to the service and location in which they intend to operate.

Co-Mover may restrict access to a service or location until applicable licences, insurance, permits, registrations, background checks, vehicle standards or other requirements are satisfied.

If a local legal requirement conflicts with these Application Terms, the applicable law prevails.

12. Applicant Costs

Subject to applicable law and any later service-provider agreement, and unless Co-Mover expressly confirms otherwise in writing, you are responsible for ordinary costs associated with maintaining your own license, vehicle, insurance, registration, mobile device, data plan and other documents or equipment needed to remain eligible. Nothing in these Application Terms requires an applicant to bear a cost that Co-Mover is legally required to pay or reimburse.

If Co-Mover later chooses to pay, reimburse or subsidize a particular onboarding cost, that arrangement will be communicated separately and does not create an ongoing obligation for other costs.

13. No Paid Services Until Activation

An applicant must not represent that they are an active Co-Mover driver, courier, shopper or mover, accept Co-Mover jobs, collect customer payments, use Co-Mover-branded equipment for active service, or perform paid Co-Mover services unless Co-Mover has expressly activated the relevant service access.

Approval of an application or document does not by itself authorize service if additional onboarding steps remain incomplete.

14. Separate Service-Provider Agreement Required

Before providing paid services, an approved applicant must accept the applicable service-provider agreement and related policies and complete all required onboarding. The operating rules in sections 14B to 14D apply when the relevant service is activated; publishing these terms does not activate an applicant or set an undisclosed pay rate.

That later agreement may address matters such as service access, job acceptance and cancellation, earnings and payouts, taxes, tips, insurance, vehicle and equipment requirements, safety, customer and merchant conduct, location data, payment tools, prohibited activity, account suspension or deactivation, disputes and other operational terms.

If the later service-provider agreement conflicts with these Application Terms on an operational matter, the later agreement will govern that matter, subject to applicable law.

14A. Post-Approval Training and Required Co-Mover Equipment

After an application is approved and before activation for paid service, Co-Mover may require service-specific onboarding and internal training. Applicable training requirements will be disclosed before activation, and Co-Mover will comply with any mandatory training-pay requirements that apply by law.

For Food Delivery and Shop & Deliver, use of the official Co-Mover thermal delivery bag is a condition of activation and continued access to those services. The applicable purchase price, purchase terms, replacement rules and operating requirements will be disclosed before activation. Detailed equipment and compliance rules, including suspension or deactivation consequences for non-compliance, are governed by the applicable service-provider agreement and equipment policy, subject to applicable law.

14B. Online Availability, Offers and Advance Bookings

Keep your required documents, mobile number, vehicle information, availability and shifts current. Job offers are ranked automatically and include priority for staff Drivers. An advance Customer booking does not reserve a Driver or guarantee work; fulfilment depends on suitable Drivers being online and on shift when dispatch takes place.

The app requires precise location while online on an approved, claimed shift, including background location where needed. Android uses an ongoing notification; iPhone uses the “Always” permission for this online-shift tracking. A Driver cannot manually go offline during an active job. The system can set a Driver offline when a required document expires, location updates stop or the shift ends. Contact support promptly if this affects an active job; an automatic status change does not authorize abandoning goods or an unsafe hand-over.

Co-Mover collects online history, shifts, job and handed-back-job records, location trails, earnings, deductions, reimbursements, withdrawal requests and payout information. Authorized staff can review location trails and order messages for service, safety and disputes. Merchants do not see stored trails. The Privacy Policy explains data use, automatic rules and review rights; report a disputed ranking, restriction or financial adjustment to support.

14C. Job Photos, Shop & Deliver Receipts and Messages

Take and submit the required pickup and delivery photos. Evidence must show the relevant goods or hand-over and avoid unnecessary images of people, identification documents or the inside of a home. Do not fabricate, reuse misleading evidence or mark an undelivered order delivered.

For Shop & Deliver, pay the store at the till using the authorized purchase method, obtain its itemized receipt and upload a receipt photo before completing the order. The receipt photo is mandatory. If the store does not provide one, request a receipt and contact support before completion; do not skip the required receipt photo or substitute false evidence. The store receives its payment at the till and is not paid again through a Co-Mover merchant payout. Follow the disclosed found-item and substitution rules.

Use order and support messages for the relevant service. Authorized staff may read them, and support may start an order-related conversation. When staff mark an order delivered, Co-Mover records who acted and why. The AI help assistant sends typed questions and necessary order details, including the assigned Driver’s name for order questions, to Anthropic (Claude).

Active cleanup deletes Driver location trails after 30 days. Approved targets awaiting implementation are 180 days for job-evidence photos, 90 days for replacement-item photos, 180 days for ordinary order conversations, and 24 months after support closure or the last AI-assistant interaction. Documented holds may extend retention. Photo expiry and support/AI expiry are not currently active.

14D. Hand-over Fallback and Liquor Refusals

Follow the Customer’s hand-over choice. On a “hand it to me” order, if nobody responds within five minutes after you message the recipient through the order channel on arrival, you may leave the order at the door only if safe and lawful, and you must take a delivery photo. This fallback never applies to liquor, other age-restricted goods, or orders requiring identification, a signature or another in-person check. Contact support if a safe and lawful hand-over is unavailable.

Perform liquor work only when the service is lawfully enabled and you hold the required certification and authorization. Verify the recipient’s identity and applicable legal drinking age, which is 18 in Alberta. Refuse hand-over if acceptable identification is unavailable, the recipient is underage or appears intoxicated. Never leave liquor unattended.

Notify support and keep refused liquor in secure temporary custody during Co-Mover’s investigation, subject to licensing and storage rules and any earlier legally required transfer or return. Co-Mover may direct transfer to licensed storage or the retailer while review continues. Custody is not ownership; do not consume, resell or give away the items. When the investigation ends, follow Co-Mover’s lawful return, transfer or disposal instructions.

For a customer-caused refusal under these checks, the Customer’s delivery fee and liquor item charges are not refunded, and no additional refused-delivery fee is added, subject to mandatory law and review of an error. The Driver is still paid for the trip under the applicable disclosed pay arrangement. Do not collect an extra refusal fee or decide a contested refund yourself. A failed age or identity check is different from cancellation because no Driver can be found.

15. Portal Use and Prohibited Activity

You must not:

Co-Mover may restrict or disable applicant access where reasonably necessary to protect applicants, customers, merchants, service providers, Co-Mover systems or the integrity of the application process.

16. Withdrawal, Account Closure and Retention

You may ask to withdraw your application or request deletion from the app’s account settings. Account deletion and personal information requests are handled under Co-Mover's Privacy Policy and account-deletion process at https://co-mover.ca/account-deletion.

Some records may need to be retained, restricted, anonymized or otherwise handled for legal, security, fraud prevention, accounting, dispute or compliance reasons. The applicable Privacy Policy and law govern those retention decisions.

17. Intellectual Property

The Co-Mover name, logos, portal design, software, text and other platform materials are owned by or licensed to Co-Mover and may not be used except as permitted for the application process or under a later written agreement.

Submitting an application does not grant you a license to use Co-Mover branding publicly or commercially.

18. Availability and Changes

The applicant portal may occasionally be unavailable because of maintenance, security issues, network problems, or third-party service outages. Co-Mover may change the application process; required documents or portal features as operational and legal requirements evolve.

If Co-Mover makes a material change to these Application Terms that requires renewed acceptance, applicants may be asked to review and accept the updated version before continuing.

19. Applicable Law and Statutory Rights

These Application Terms are intended to operate together with applicable Canadian federal, provincial, territorial and municipal law. Nothing in these terms waives a right or protection that cannot lawfully be waived.

Because worker classification, transportation, insurance, privacy and platform-work rules can differ by jurisdiction and service type, Co-Mover may apply additional local terms or requirements before activation.

20. Disclaimer and Limitation of Liability

The applicant portal, application process and related communications are provided on an “as available” basis for recruitment and onboarding purposes. Co-Mover does not guarantee uninterrupted access, error-free operation, approval, activation, launch in any location, availability of any service, or any minimum amount of work, earnings or business opportunity.

To the maximum extent permitted by applicable law, MB RAYCO CORPORATION operating as Co-Mover, and its directors, officers, employees, agents, contractors and service providers, will not be liable for indirect, incidental, special, exemplary, punitive or consequential losses arising from or related to the application process, including lost profits, lost anticipated earnings, lost opportunities, business interruption or loss arising from delays, application decisions, portal outages, third-party systems or an applicant’s failure to maintain accurate information or required documents.

Nothing in these terms excludes, limits or releases liability that cannot lawfully be excluded or limited, including any non-waivable statutory rights or liability imposed by applicable privacy, human-rights, employment, transportation or other law. Any exclusion or limitation in these terms applies only to the extent permitted by law.

21. Applicant Responsibility, Indemnity and Co-Mover Legal Remedies

You are responsible for the accuracy and lawfulness of the information, documents and materials you submit and for your use of the applicant portal. You are also responsible for losses caused by your fraud, forged or falsified documents, impersonation, unlawful access, malicious activity, infringement of third-party rights, or other intentional or unlawful breach of these Application Terms.

To the maximum extent permitted by law, you agree to indemnify and hold harmless MB RAYCO CORPORATION operating as Co-Mover and its directors, officers, employees and agents from third-party claims, liabilities, damages and reasonable legal costs arising directly from your fraud, intentional misconduct, unlawful portal use, forged or unauthorized documents, or infringement of a third party’s rights, except to the extent the claim was caused by Co-Mover’s own negligence, willful misconduct or other liability that cannot lawfully be excluded.

Co-Mover may preserve relevant records, suspend or disable access, report suspected fraud or unlawful activity where permitted or required by law, and pursue available civil or other legal remedies for material breaches, fraud, unauthorized system access, misuse of Co-Mover intellectual property or other unlawful conduct. Co-Mover may seek recovery of proven losses and any costs or remedies awarded by a court or other competent authority.

22. Dispute Resolution and Governing Law

Before starting formal court proceedings about these Application Terms, the applicant and Co-Mover should first attempt in good faith to resolve the matter through written notice and direct discussion, unless urgent relief is reasonably required or applicable law gives the applicant an immediate right to proceed elsewhere.

To the extent permitted by applicable law, these Application Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without depriving an applicant of any mandatory protection that applies in the applicant’s province or territory. Nothing in this section prevents an applicant from making a complaint or application to a privacy commissioner, human rights body, employment standards authority, transportation regulator, law-enforcement authority or other regulator where the law permits.

23. General Terms

Entire application agreement. These Application Terms, together with the Privacy Policy and any separate notices or consents expressly incorporated into the application flow, form the agreement governing the application and verification stage. They do not replace the later service-provider agreement required before paid service.

Severability. If any provision is found invalid or unenforceable, it will be limited or severed only to the extent necessary, and the remaining provisions will continue to apply to the extent permitted by law.

No waiver. A delay or failure by Co-Mover to enforce a provision does not permanently waive that provision or any other right.

Assignment and corporate changes. Co-Mover may transfer these Application Terms in connection with a bona fide corporate reorganization, merger, financing, sale of business or transfer of the Co-Mover operations, subject to applicable law and privacy obligations. An applicant may not transfer an applicant account or application to another person.

Survival. Provisions that by their nature should continue after withdrawal, rejection or closure of an application - including intellectual-property protections, privacy and retention obligations, liability limitations, indemnity obligations arising from pre-closure conduct, and dispute provisions - continue to the extent permitted by law.

24. Contact

Questions about the driver application process or these terms may be sent to business@co-mover.ca. Privacy or personal information requests should be made through the contact method identified in the Co-Mover's Privacy Policy or account-deletion page.

Pre-launch revision notice. Co-Mover may revise these application terms before paid services launch. If a material revision affects an applicant, Co-Mover may require the applicant to review and accept the updated version before activation.
